This is a contract.  By accepting this contractual agreement, you accept all its terms and conditions.  This Software Evaluation Agreement between Scope, LLC and Evaluator applies to evaluating the OSP software product “Optimized Strategic Planning for Manufacturers”  and related explanatory written materials hereinafter referred to as "Software".  The term "Software" shall also include any upgrades, modified versions or updates of the Software provided to you by Scope, LLC.  A demonstration copy of the OSP software product is provided to you for evaluation purposes only, and Scope, LLC grants to you a right to use the Software,  provided that you agree to the following. 

1.    USE OF THE SOFTWARE   You may install and use the Software in a single location on a hard disk or other storage device; install and use the Software on a file server for use on a network for the purpose of evaluating the Software.  You may make one copy of the Software for backup purposes. The serial number of the intended processor to be used must be provided to Scope, LLC.  A program ‘sernum.exe’ is available to Evaluator for extracting the serial number from the intended processor to a text file for return to Scope, LLC.

2.    COPYRIGHT  The Software is owned and licensed by Scope, LLC, and is protected by United States Copyright Law and International Treaty provisions.  You agree not to modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software. 

3.    TRANSFER  You may not rent, lease, or license the Software.  You may, however, transfer all your rights to use the Software to another person or entity, provided that you transfer this Agreement with the Software.   

4.    NO WARRANTY   The Software is being delivered to you AS IS and Scope, LLC makes no warranty as to its use or performance.  Scope, LLC does not and cannot warrant the performance or results you may obtain by using the software or documentation.  Scope,  LLC makes no warranties, express or implied, as to non-infringement of third party rights, merchantability or fitness for any particular purpose.  In no event will Scope, LLC  be liable to you for any consequential, incidental, or special damages, including any lost profits or lost savings, even if  Scope, LLC has been advised of the possibility of such damages, or for any claim by any third party.   

5.    GOVERNING LAW AND GENERAL PROVISIONS   This Agreement will be governed by the laws of the State of Virginia, U.S.A.  If any part of this Agreement is found void and unenforceable, the balance of the Agreement shall remain valid and enforceable according to its terms.  You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act, or any other export laws, restrictions, or regulations.  This Agreement shall automatically terminate upon failure by you to comply with its terms.  This Agreement may only be modified in writing, signed by an authorized officer of Scope, LLC. 

The terms and conditions stated herein supersede all prior agreements between parties relating to the subject matter of this Agreement.  This Agreement may be changed or modified only in writing. 

Please indicate your acceptance of the foregoing Agreement by signing and returning this document to Scope, LLC, 96 Ledges Lane, Afton VA 22920.  Upon acceptance by  Scope, LLC,  a signed copy of this agreement and a copy of the Software will be sent to Evaluator.
